Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and PetaByte ("we," "us," or "our") governing your use of PetaByte Vault, PetaByte Mail, and all related services accessible at petabytevault.com and petabytemail.com. By using our services, you agree to be fully bound by these Terms.

1. Acceptance of Terms

By accessing or using any PetaByte service, you confirm that you are at least 13 years of age, have read and understood these Terms, and agree to be legally bound by them. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree to these Terms, you must immediately discontinue use of our services.

2. Description of Services

PetaByte provides:

PetaByte Vault: Permanent, secure cloud storage for files, photos, videos, and documents.
PetaByte Mail: Professional, high-capacity email hosting.
Data Migration Tools: Tools to securely import files from platforms such as Google Drive and iCloud.
Eco Impact Initiative: A reforestation contribution program linked to active subscriptions.

3. Prohibited Content & Zero-Tolerance Policy

⚠ ZERO-TOLERANCE POLICY — READ CAREFULLY

Violation of this section results in immediate and permanent account termination with no refund under any circumstance.

You are strictly prohibited from uploading, storing, transmitting, or sharing any of the following:

Pornography or sexually explicit material of any kind
Nudity not otherwise lawfully permitted
Child sexual abuse material (CSAM) — this will result in immediate law enforcement reporting
Malware, viruses, worms, ransomware, trojans, spyware, adware, rootkits, or any malicious code
Corrupted, weaponized, or intentionally broken files designed to harm systems
Pirated software, unlicensed media, or stolen intellectual property
Content designed to facilitate illegal activity
Hate speech, content inciting violence, or content targeting individuals based on protected characteristics

Enforcement Protocol:

Detection: All uploads are scanned in real-time by AI content moderation and virus scanning systems. Prohibited content is deleted immediately upon detection.

First Violation: Prohibited content deleted. Formal warning email sent. Violation logged permanently on your account.

Second Violation: Subscription cancelled immediately. No refund issued — not for any remaining days, weeks, or months of prepaid service. Your compliant data is Gzipped and a temporary, time-limited signed download URL is emailed to you. After the legally required retention period, all data and your account are permanently and irrecoverably deleted. You are permanently banned from creating a new account.

CSAM: Immediate account termination, law enforcement notification, and reporting to the National Center for Missing & Exploited Children (NCMEC). No download archive provided.

4. Your Content & License

You retain full ownership of all content you upload to PetaByte. By uploading content, you grant PetaByte a limited, non-exclusive, royalty-free license to host, store, process, and transmit your content solely as necessary to provide the services to you. This includes:

Storing files on our infrastructure
Scanning files for malware and prohibited content
Compressing and archiving data upon account closure
Transmitting files when you share or download them

We do not use your personal files for advertising, training AI models (beyond content moderation functions), or any purpose not directly related to service delivery.

5. Subscriptions, Billing & Refunds

Plans: We offer Basic, Professional, and Enterprise subscription tiers with varying storage limits and features as described on our Pricing page.

Billing: Subscriptions are billed on a recurring monthly or annual basis via Stripe. You authorize us to charge your payment method on each renewal date.

Cancellation: You may cancel your subscription at any time. Your access continues until the end of the current billing period. No partial refunds for unused time.

Refund Policy: Payments are non-refundable except where required by applicable law. Policy enforcement terminations (Section 3) are explicitly non-refundable.

Price Changes: We reserve the right to modify pricing with 30 days' advance notice. Continued use after notice constitutes acceptance of new pricing.

Failed Payments: If a payment fails, we will attempt to collect for up to 7 days. If unsuccessful, your account may be suspended until payment is resolved.

6. Data Migration Services

When using our data migration tools, you acknowledge that:

You have all necessary rights and permissions to migrate the content being transferred.
Migrated content is subject to the same content policies as directly uploaded content.
PetaByte acts solely as a technical facilitator and is not responsible for content you choose to migrate.
Third-party service connections (e.g., Google Drive) are governed by those platforms' respective terms.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. PETABYTE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PETABYTE, NOR ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH:

Your access to or use of, or inability to access or use, the service
Any unauthorized access to or use of our servers or your personal data stored therein
Any bugs, viruses, or other harmful code transmitted through our service by third parties
Content uploaded by you or other users in violation of these Terms
Account suspension or termination due to policy violations

IN NO EVENT SHALL PETABYTE'S TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

9. Indemnification

YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS PETABYTE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, SERVICE PROVIDERS, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, JUDGMENTS, AWARDS, LOSSES, COSTS, EXPENSES, OR FEES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR RELATING TO:

Your violation of these Terms of Service
Any content you upload, store, or transmit through our platform
Your use or misuse of the service
Your violation of any third-party rights, including intellectual property rights
Your violation of any applicable law, rule, or regulation
Any claim that your content caused damage to a third party

This indemnification obligation survives termination of these Terms and your use of the service.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Pennsylvania, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the service shall be resolved by binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property violations or data security breaches.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11. Termination

We reserve the right to suspend or terminate your account and access to our services at any time, with or without notice, for any of the following reasons:

Violation of these Terms of Service
Non-payment of subscription fees
Fraudulent, abusive, or illegal activity
Requests from law enforcement or government agencies
Extended inactivity (more than 24 months with no login)

Upon voluntary termination, your data remains accessible for 30 days. Upon enforcement termination, data handling follows the protocol outlined in Section 3.
